Herc Rentals Closes $3.9 Billion Merger With H&E

Published: June 9, 2025
Herc Rentals has successfully completed its acquisition of H&E Equipment Services in a deal worth $3.9 billion, closing the transaction on June 2. This strategic move, which involved a cash payment of $78.75 along with shares of Herc stock for H&E shareholders, allows Herc to strengthen its position as a significant player in the North American equipment rental market. Following the merger, Herc's network has expanded to 613 locations across the continent, an increase from 450, while their workforce has grown to approximately 10,500 employees.

H&E contributed substantial assets, including 64,000 pieces of rental equipment and 160 branches, which are spread across more than 30 states. This acquisition has positioned Herc advantageously in 11 of the top 20 rental regions, enhancing their fleet's diversity and improving customer service capabilities. Analysts believe that such size and geographic coverage are crucial for competitiveness, as this merger helps Herc narrow the gap with the industry leader, United Rentals. During the acquisition process, Herc outmaneuvered United, which had also been pursuing H&E, resulting in a breakup fee that United must now pay due to the unsuccessful negotiation.

From a transportation and logistics perspective, this merger demonstrates the importance of scale in the equipment rental industry. Larger companies can offer a more extensive selection of equipment and better service availability, which is vital in meeting the demands of varied projects. Increased urban density in key rental markets boosts logistic efficiency, allowing for quicker service to clients. Overall, the merger underscores a trend of consolidation in the sector, as firms seek to enhance capabilities and compete more effectively in an evolving marketplace.
