Hyroad Energy to Buy Nikola’s Hydrogen Fuel Cell Trucks, IP

Published: August 11, 2025
Hyroad Energy has agreed to purchase the remaining physical assets and all intellectual property of the bankrupt truck manufacturer Nikola for $3.85 million. The deal was approved by Judge Thomas Horan of the U.S. Bankruptcy Court for the District of Delaware and includes 103 hydrogen fuel cell electric tractors and parts necessary for their operation. The transaction ensures Hyroad gains valuable resources as it aims to expand its hydrogen trucking-as-a-service offerings.

Nikola's inventory includes various components and raw materials valued at over $55 million. However, some assets related to Nikola's Hyla division, including mobile fueling equipment, have not been accounted for in the deal. Throughout the sale process, which began in May, it became clear that Hyroad's was the only feasible offer, according to the estate's administrators.

Trevor Milton, the founder of Nikola, attempted to support a competing bid but ultimately the focus remained on Hyroad's proposal due to its viability. Meanwhile, the physical assets of Nikola are currently located at their former headquarters, which has now been sold to Lucid Motors, further complicating logistics for any buyers.

As the transportation sector increasingly prioritizes sustainability, Hyroad's plans for a hydrogen refueling network—including a proposed "zero-loss" refueling station in Dallas—align with broader industry trends aiming for cleaner freight solutions. This acquisition positions Hyroad favorably at a time when hydrogen fuel technology is gaining traction, with experts projecting that well-implemented hydrogen infrastructure could significantly lower emissions in the transportation sector. The push towards hydrogen as a viable alternative fuel source is bolstered by potential advancements in vehicle and refueling efficiency, making this acquisition significant.
Hyroad, based in Austin, Texas, is collaborating with Bosch Rexroth and GenH2 to create a cutting-edge "zero-loss" liquid hydrogen refueling station in Dallas. This facility will be situated at Hyroad's current flagship refueling station and is anticipated to become operational by 2026. The initiative aims to provide a comprehensive package that includes trucks, a fueling infrastructure network, and maintenance support, featuring a cost-effective pay-per-mile model without requiring any upfront capital investment.

Expert Commentary: The development of hydrogen refueling infrastructure is a significant step toward enhancing the viability of hydrogen-powered transportation. By focusing on a zero-loss system, which minimizes the waste of hydrogen during storage and refueling, Hyroad and its partners are addressing one of the critical challenges in hydrogen logistics. Additionally, the pay-per-mile pricing model could increase adoption among transportation companies by reducing financial barriers. As the industry moves towards sustainable fuel solutions, such investments signal a promising shift towards decarbonizing the transportation sector.
