Private equity firm Thoma Bravo has announced its intention to acquire 3PL WWEX Group, marking a major development in the logistics sector. The acquisition is expected to create a powerhouse player with a combined platform of $5 billion freight brokerage and intelligent shipping software. Following the deal, Thoma Bravo will integrate WWEX Group's extensive logistics expertise with Auctane's cutting-edge AI-enabled capabilities, significantly expanding the company's reach in the market.

The combined entity will leverage WWEX Group's extensive network of over 2,300 sales professionals, serving more than 130,000 customers who move approximately 70 million shipments annually. This vast customer base is expected to benefit from the integration with Auctane's global ecosystem of e-commerce shipping software.

Auctane's shipping and fulfillment solutions include ShipStation, Stamps.com, Metapack, and Packlink, while WWEX Group brands offer parcel and freight services such as Worldwide Express, GlobalTranz, Unishippers, JEAR Logistics, and BLX Logistics. The integration of these platforms is expected to create a comprehensive logistics solution with AI-enabled capabilities.

CVC Capital Partners, Providence Equity Partners, Ridgemont Equity Partners, and PSG currently own WWEX Group. As part of the deal, CVC and other investors will roll over a portion of their equity, retaining a minority interest in the combined entity. This strategic partnership is expected to drive growth and expansion for the company.

The acquisition is seen as a strategic move by Thoma Bravo to expand its presence in the logistics sector. With Auctane's category-defining shipping software and WWEX Group's extensive parcel and freight service offerings, the combined company is well-positioned to redefine the next generation of AI-enabled logistics.

The joint lead advisers on the transaction are J.P. Morgan and Morgan Stanley, while Goldman Sachs and UBS Investment Bank are also advising WWEX Group on the deal.
